[Operator name, LLC] ("we", "us") runs LawTime, a web application for recording time and expenses and preparing bills for small law firms (the "Service"). These terms govern your use of it. By creating an account or using the Service you agree to them, for yourself and for the firm you use it on behalf of. If you do not agree, do not use the Service.
1. What the Service is
LawTime keeps the time, expense, client, matter, billing and payment records your firm puts into it and prepares bills from them. It is a record-keeping tool. It is not legal, accounting or tax advice, and we are not your lawyer or accountant. You are responsible for the accuracy of what you enter and for every bill you send.
2. Accounts and limits on use
A firm's authorized person should create the firm's account and invite the people who work there. Each person must keep their password private and tell us promptly if they think their account has been used by someone else. The firm is responsible for what its people do in the Service, and the owner is responsible for removing people who leave the firm. You must be at least 18 and may use the Service only for a law practice or similar professional practice.
We may set reasonable limits on use, such as the amount of storage a firm may use, the size of files it may upload, and how many requests it may make in a period, to keep the Service working for everyone. We will say what the limits are, and we will not apply a limit in a way that locks you out of your data.
3. Your data
Everything your firm enters belongs to your firm. We claim no rights in it. We use it only to run the Service for you, to support you, and as the Privacy Policy describes. We will not sell it, show it to other firms, or use it to train anything. You may export it at any time, and you may ask us to delete it when you close your account.
4. Fees
The Service is free for now. If we start charging, we will tell you by email at least 30 days before any fee applies, and you will be able to export your data and close your account without paying anything. No fee ever applies without your agreement.
5. Acceptable use and our rights in the Service
Do not use the Service to break the law, to store material you have no right to store, to attack or overload the Service, or to get at another firm's data.
The Service itself, meaning its software, design, screens, text, name and logo, belongs to us or to those who license it to us, and is protected by copyright, trademark and other laws. You have a limited, non-exclusive, non-transferable right to use the Service for your firm's own practice while your account is open. You may not copy, modify, or make a derivative of the Service; reverse engineer it or try to get at its source code; scrape or harvest it with automated tools; frame it or pass it off as your own; resell it, rent it, or offer it to others; or use it to build a competing product. Nothing in these terms gives you any right in the LawTime name or logo. Your firm's data is not part of the Service and remains yours under section 3.
If you give us suggestions or feedback about the Service, we may use them freely without owing you anything.
6. Availability and changes
We try to keep the Service available and working, but we do not promise it will be uninterrupted or error-free. We may change it, and we may discontinue it with at least 30 days' notice, during which you can export your data. Keep your own copies of the bills you send; the Service should not be your only record.
7. No warranty
The Service is provided as is and as available. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that bills, totals or reports are correct; check them before you rely on them. Nothing we say, in the Service or elsewhere, creates a warranty that these terms do not state.
8. Limit on liability
To the extent the law allows, we are not liable to you or your firm for any indirect, incidental, consequential, special, exemplary or punitive damages, including lost profits, lost revenue, lost data, lost goodwill, interruption of business, the cost of substitute services, or the cost of reconstructing records, however caused and under any theory, whether contract, tort, negligence, strict liability, statute or otherwise, even if we were told such damages were possible.
We are also not liable for any loss that results from errors in what your firm entered; from unauthorized use of your firm's accounts that we did not cause; from the acts or outages of third parties, including the hosting provider; or from events beyond our reasonable control.
Our total liability to you and your firm for all claims arising out of or relating to the Service or these terms, taken together, will not exceed the amount your firm paid us in the twelve months before the first claim, or $100 if your firm paid nothing. This limit is an essential part of the bargain between us; without it we would not offer the Service on these terms or at this price.
Any claim arising out of or relating to the Service or these terms must be brought within one year after it arose, or it is barred.
Some places do not allow some of these limits, so some may not apply to you in full. Where that is so, our liability is limited to the greatest extent the law allows.
9. Claims against us caused by your use
If someone else brings a claim against us because of your firm's data, because of how your firm used the Service, or because your firm broke these terms, your firm will defend us against that claim and pay any damages, costs and reasonable attorney's fees that result. We will tell you promptly about such a claim and let you control the defense, as long as you keep us informed and do not settle it in a way that admits fault on our part or binds us without our written consent.
10. Closing the account
You may close your firm's account at any time by [asking us at the contact address / from the Firm page]. We may suspend or close an account that breaks these terms, on a lawful request from a government authority, or after twelve months with no sign-in, after notice to the owner's email. When an account closes we delete its data as the Privacy Policy describes. Sections 3, 5, 7, 8, 9, 11 and 13 continue to apply after an account closes.
11. GOVERNING LAW, VENUE, AND WAIVER OF JURY TRIAL AND CLASS ACTIONS
Governing law. These terms, and any dispute arising out of or relating to them or to the Service, are governed by the laws of the State of Texas, without regard to its conflict-of-law rules.
Venue. Any such dispute will be decided only in the state or federal courts located in Harris County, Texas. You and your firm consent to the personal jurisdiction of those courts and waive any objection to venue there. Nothing in these terms requires arbitration.
WAIVER OF JURY TRIAL. TO THE FULLEST EXTENT THE LAW ALLOWS, YOU, YOUR FIRM AND WE EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE. ANY SUCH DISPUTE WILL BE DECIDED BY A JUDGE SITTING WITHOUT A JURY.
WAIVER OF CLASS AND REPRESENTATIVE ACTIONS. YOU AND YOUR FIRM AGREE THAT ANY CLAIM AGAINST US MAY BE BROUGHT ONLY IN YOUR OWN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL ACTION. NO SUCH PROCEEDING MAY BE COMBINED WITH ANY OTHER PERSON'S OR FIRM'S CLAIM, AND NO COURT MAY AWARD RELIEF THAT AFFECTS ANYONE OTHER THAN THE PARTIES TO THE INDIVIDUAL CLAIM. IF THIS WAIVER IS FOUND UNENFORCEABLE AS TO A PARTICULAR CLAIM, THAT CLAIM MUST BE SEVERED AND DECIDED IN COURT ON AN INDIVIDUAL BASIS, AND THE WAIVER STILL APPLIES TO EVERY OTHER CLAIM.
12. Changes to these terms
We may change these terms. We will post the new version in the Service and email the firm owner at least 30 days before a material change takes effect. Using the Service after that date means you accept the change.
13. General
These terms and the Privacy Policy are the whole agreement between us about the Service and replace any earlier understanding. If a court finds part of them unenforceable, the rest stands, and the court should give effect to the parties' intent as far as it can. Our not enforcing a term once does not waive it. Accounts and these terms cannot be transferred by you without our consent; we may transfer them to a successor who takes over the Service, with notice to you. Section titles are for convenience only. Notices to you may be sent to the owner's email or posted in the Service.
